Network Share Schedule
Effective date: September 28, 2026
1. What this Schedule is
1.1 Purpose. This Network Share Schedule (this "Schedule") governs the creation and publication of Mods on the Platform, the licenses that make Mods possible, and the automatic allocation of Earned Sparks (the "Network Share") that the Platform makes between the Modder and the Original Creator when Users spend Sparks in a Mod, at a percentage the Original Creator sets. It also states when, and only when, Summer Passport can give rise to a Network Share. It is published by Summer Labs, Inc., a Delaware corporation ("Summer", "we", "us"), 2810 N Church St, STE 89812, Wilmington, DE 19802, United States.
1.2 Who is bound. This Schedule is part of the Additional Terms incorporated into the Summer Games Terms of Service. It binds: (a) every Creator who publishes a Game on the Platform with Modding Enabled (an "Original Creator" as to that Game); (b) every Creator who creates or publishes a Mod on the Platform (a "Modder" as to that Mod); and (c) every Creator whose Game hosts or originates a Passport Item, to the extent Section 6 applies. If you do none of these things, this Schedule does not apply to you.
1.3 Where the numbers are. The Network Share Rate for a Game is set by that Game's Original Creator under Section 5.3, as any whole number from 0 to 100 percent; Summer publishes no default and no band for it, and it is not a Fee and Rates Schedule parameter. Every other rate and period that drives the economics of this Schedule (Summer's platform share, the period after which an Original Creator's rate change takes effect, the Passport Share Rate, the cure period, the Revocation Notice period, the Share Wind-Down Period and the computation dispute window) is stated in the Fee and Rates Schedule and may change only as that document allows: with at least 30 days' notice, prospectively only, and never for amounts already accrued. Bracketed numbers in this Schedule restate the Fee and Rates Schedule as of the date above. The procedural periods stated only in this Schedule (the Reactive Offer expiry in Section 9.2 and the ownership-change notice in Section 15.2) change only under Section 16.
1.4 Defined terms. Capitalized terms are defined in the Summer Dictionary. Section 2 restates and, where new, introduces the terms most important to this Schedule. If Section 2 and the Summer Dictionary conflict, the Summer Dictionary controls.
1.5 Relationship to other documents. The Summer Games Terms of Service Section 11 (your content) and Section 12 (publishing, Mods and Network Shares) state the baseline license and the publishing condition; this Schedule states the mechanics. Program Payments for Network Share amounts are governed by the Creator Program Terms and the Creator Tax Addendum. Infringement claims are governed by the DMCA and Intellectual Property Policy. Where this Schedule and the Terms of Service conflict on Network Share mechanics, this Schedule controls; on everything else the Terms of Service control.
1.6 Lane. This Schedule applies only in the Summer Games lane. Paid Games carry no Sparks, generate no Earned Sparks, and are outside this Schedule. Nothing in this Schedule licenses any use of a parent Game or a Passport Item in an Exported Game or in any distribution outside the Platform.
2. Definitions
2.1 "Mod" means a Game, or an item of Virtual Content, that a Creator creates and publishes through the Platform's Mod publication flow as a modification, extension, remix or derivative of another Creator's Game, and that the Platform records as a child of that identified parent Game. Whether something is a Mod is determined by how it is published: content published through the Mod publication flow against an identified parent is a Mod; content published as a standalone Game is not, even if it was inspired by another Game. Publishing content that copies or incorporates another Creator's Game or assets outside the Mod publication flow is not licensed by this Schedule; it may be the subject of a Reactive Offer under Section 9 or of a notice under the DMCA and Intellectual Property Policy.
2.2 "Original Creator" means the Creator of the Game that a Mod identifies as its parent. Where Section 7 (stacking) applies, the "Parent Creator" of a second-level Mod is the Modder of the first-level Mod, and references in this Schedule to the Original Creator's right to set the Network Share Rate for, and to receive the Original Creator's share from, that second-level Mod apply to that Parent Creator instead.
2.3 "Modder" means the Creator who creates and publishes a Mod.
2.4 "Licensed Assets" means the parent Game's moddable elements that the Original Creator makes available to Modders through the Platform's modding parameters, including scenes, scripts, models, textures, audio, characters, systems and items, together with the parent Game's title and identifying metadata to the extent needed to identify the Mod as a Mod of that Game.
2.5 "Permitted Game" means a Mod that has been Activated under Section 4, together with its listing metadata (title, description, icon, thumbnails and screenshots), as the Mod exists from time to time on the Platform.
2.6 "Network Share Sublicense" means the sublicense that Summer grants to a Modder under Section 3.2 for a Permitted Game.
2.7 "Share Base" means the amount computed under Section 5.8 for a Mod: the Earned Sparks arising from Users' Qualifying Spend in that Mod (or, where the Mod is an item of Virtual Content, on that Mod) after Summer's platform share, net of the exclusions stated there, which Section 5.1 allocates between the Modder and the Original Creator at the Network Share Rate.
2.8 "Network Share Rate"; "Network Share"; "Original Creator's share". "Network Share Rate" means the percentage of the Share Base credited to the Modder of a Mod, set by the Original Creator of the parent Game under Section 5.3 as any whole number from 0 to 100 percent, and locked for that Mod under Section 5.5. The remainder of the Share Base is credited to the Original Creator (the "Original Creator's share"). "Network Share" means this allocation of the Share Base between the Modder and the Original Creator, and "Network Share amounts" means the Earned Sparks credited to either Creator under it.
2.9 "Modding Enabled" means the publication setting by which an Original Creator permits Mods of a Game under this Schedule. "Content Standards" means the conditions an Original Creator attaches to Mods of a Game through the Platform's modding parameters (for example, which Licensed Assets are available, permitted Content Maturity Labels for Mods, and prohibited themes), as displayed to a Modder before acceptance.
2.10 "Activation" means the moment a Network Share Sublicense comes into effect under Section 4.1. "Activated" has the corresponding meaning.
2.11 "Compliance Process" means the notice-and-cure process in Section 8.
2.12 "Revocation Notice" means a notice under Section 10.2. "Share Wind-Down Period" means the period of 60 days described in Section 10.3. The Share Wind-Down Period is different from the "Wind-Down Period" defined in the Summer Dictionary for Platform discontinuation.
2.13 "Reactive Offer" means an offer of a Network Share Sublicense made under Section 9.2 to the Creator of a Game that already incorporates Licensed Assets without a Sublicense. "Surfaced Game" means a Game that Summer's content identification, or an Original Creator's request under Section 9.2, identifies as a candidate for a Reactive Offer. "Reference Content" means examples of Licensed Assets an Original Creator supplies to assist identification, where the Platform offers that feature.
2.14 Passport terms. "Origin Creator" means the Creator of the Game in which a Passport Item was first licensed to a Player. "Host Game" means a Game, other than the origin Game, in which the Platform renders a Passport Item for the same Player. "Host Creator" means the Creator of a Host Game. "Passport Derived Content" means Virtual Content offered for Sparks in a Host Game that incorporates or is derived from a Passport Item's origin asset. "Passport Share Rate" means the percentage stated in the Fee and Rates Schedule for Passport Derived Content.
2.15 "Claim" and "Claimed Content" have the meanings given in the DMCA and Intellectual Property Policy: a verified rights holder's election to have an item or Game delisted from every Summer store surface without removing it from Users who already hold it.
3. License architecture: hub and spoke
3.1 The Original Creator's grant to Summer. By publishing a Game with Modding Enabled, the Original Creator grants Summer, in addition to the license in the Summer Games Terms of Service Section 11.2, a worldwide, non-exclusive license, without fee to Summer, to the Licensed Assets of that Game, together with the right to grant Network Share Sublicenses to Modders as described in Section 3.2, solely for the purpose of enabling Modders to create, publish, operate and monetize Mods on the Platform. This grant is conditioned on, and made in consideration of, the Original Creator's share under the Network Share defined in this Schedule, which Summer credits to the Original Creator's Earned Sparks ledger. The grant is terminable per Mod as Section 10 describes and is never an assignment.
3.2 Summer's sublicense to Modders. Summer grants each Modder who is in good standing, has accepted the Summer Games Terms of Service, and has completed any verification the Platform requires, a non-exclusive, non-transferable, revocable Network Share Sublicense to access the Licensed Assets of the parent Game through the Platform's modding tools and to create, publish, operate and monetize a Mod of it on the Platform. The Network Share Sublicense is granted subject to and conditioned on: (a) this Schedule, including the Network Share; (b) the Content Standards for that Game; (c) the Summer Games Community Standards and the Content Maturity Policy; and (d) continued compliance with the Summer Games Terms of Service. The Sublicense includes the right, through Summer, for Users to access, play and interact with the Mod under the Terms of Service Section 11.3, and every license to Virtual Content sold in the Mod is granted by Summer to the purchasing User on the standard terms of the Terms of Service.
3.3 Acceptance is affirmative. The Original Creator accepts this Schedule by enabling Modding for a Game and setting the Network Share Rate under Section 5.3 and the Content Standards. The Modder accepts this Schedule, the Network Share Rate then displayed for the parent Game, and the Content Standards, by confirming them in the Platform before the Mod is published; the Platform records that confirmation, and the confirmed rate is locked for that Mod at Activation under Section 5.5. No signature is required. Silence, inactivity, or the passage of time never creates a Network Share Sublicense, and no Sublicense arises from a Reactive Offer that the Creator has not accepted.
3.4 No contract between Creators. This Schedule is a hub-and-spoke arrangement. Each of the Original Creator and the Modder contracts only with Summer. Nothing in this Schedule creates a contract, partnership, agency, fiduciary relationship or joint venture between the Original Creator and the Modder, and neither owes the other any payment obligation. All rights flow through Summer, and Summer credits each Creator directly under Section 5.6. Except for the covenants in Section 11 (which each Creator may enforce as an intended third-party beneficiary), there are no third-party beneficiaries of this Schedule.
3.5 Scope limits. The Network Share Sublicense: (a) is limited to the Platform and does not extend to Exported Games or any off-Platform distribution of the parent Game's content; (b) grants no right to the Original Creator's names, logos or trademarks except as needed to identify the Mod as a Mod of the parent Game within the Platform (see the Fan Content Policy and, as to Summer's marks, the Summer Brand Guidelines); (c) does not permit extracting Licensed Assets for use outside the Mod; (d) does not include any right to sublicense further, except that publishing a Mod with Modding Enabled permits second-level Mods as described in Section 7; and (e) does not permit use of the Licensed Assets to train any machine learning model.
3.6 Turning Modding on and off; modding parameters. The Original Creator chooses whether Modding is Enabled at publication and may change that setting at any time. The default for newly published Games is OFF, as Section 12.2 of the Summer Games Terms of Service states; the setting is a product decision adopted as the live default on 2026-09-19. When enabling Modding the Original Creator sets the Network Share Rate under Section 5.3 and the Content Standards and selects which Licensed Assets are available; changes to Content Standards apply only to Mods Activated after the change, except that a tightening required by law or by the Summer Games Community Standards applies to all Mods after the notice in Section 8. Disabling Modding stops the grant of new Sublicenses prospectively; it does not by itself terminate Sublicenses already Activated, which continue under this Schedule until revoked under Section 10.
3.7 Summer's role; provided as is. Summer operates the modding tools, records parent-child relationships, computes and applies the split, and administers this Schedule. Summer is not obligated to pre-review Mods before publication; moderation follows Section 11 of the DMCA and Intellectual Property Policy and the Summer Games Community Standards (automated systems at and after publication; human review only on reports, notices, Claims and appeals). Featuring a Game or Mod is editorial promotion after publication and does not change any party's role or responsibilities under this Schedule. Summer facilitates Sublicenses and guarantees no outcome from any Sublicense, including the quality, performance, revenue or availability of any Mod. Summer may, in its discretion and without penalty, limit, suspend or discontinue features of the modding tools, including content identification under Section 9.1, for technical reasons, policy violations, or as reasonably required for Summer's operations, with the notice stated in the Summer Games Terms of Service for changes that affect accrued Network Share amounts.
3.8 Minors. A Creator aged 13 to 17 may be an Original Creator or a Modder under this Schedule with the consents required by the Parent Account Terms. Network Share amounts credited to a minor accrue as Earned Sparks and can be the basis of a Program Payment only after the Creator enrolls in the Summer Creator Program at 18 under the Creator Program Terms.
4. Activation and accrual
4.1 Two-key Activation. A Network Share Sublicense Activates, and the Network Share begins to accrue, only when both of the following have occurred: (a) the Modder has confirmed the Network Share Rate and Content Standards under Section 3.3; and (b) the Platform has recorded the Mod's parent link and verified that the Mod incorporates Licensed Assets of that parent (for Mods created through the modding tools, the record is made automatically at publication; for a Reactive Offer, Summer verifies presence before sending the offer under Section 9.2).
4.2 Only spend after Activation counts. The Share Base includes only Qualifying Spend that occurs after Activation. Spend in a Game before Activation, including spend in a Surfaced Game before a Reactive Offer is accepted, never becomes Share Base, and no Network Share is computed retroactively.
4.3 Early use. If the Platform detects that a Game incorporates Licensed Assets before a Reactive Offer is accepted, that detection does not Activate anything; it may be the basis of a Reactive Offer under Section 9.2 or of a notice under the DMCA and Intellectual Property Policy.
4.4 No Activation without good standing. Summer may decline to Activate, or may suspend, a Network Share Sublicense for a Modder whose Account is suspended, whose Mod violates the Summer Games Community Standards, or where Activation would breach law.
5. The Network Share
5.1 Automatic split at the ledger level, from the Modder's leg. For each Qualifying Spend in a Permitted Game, the Platform: (a) debits the gross Sparks from the spending User's Purchased Sparks; (b) records Summer's platform share stated in the Fee and Rates Schedule (at drafting: 30 percent of the Sparks spent), which is never reduced by any Network Share; (c) computes the Share Base under Section 5.8 from the remaining 70 percent; (d) applies the Network Share Rate set by the Original Creator to the Share Base and credits the result to the Modder as Earned Sparks; and (e) credits the remainder to the Original Creator as Earned Sparks (the Original Creator's share). Every leg is allocated by Summer in one ledger event at the moment of spend; no Sparks move from one Creator to another, and a reversal under Section 5.10 reverses every leg of that event. The whole computation is in Sparks units. It is not a division of any dollar amount paid by any User, and no part of any User's payment is received or held for either Creator. Illustration at the platform share in force at drafting: a User spends 100 Sparks in a Permitted Game; 30 Sparks are Summer's platform share, taken first; the Share Base is 70 Sparks. At a Network Share Rate of 50 percent, 35 Earned Sparks are credited to the Modder and 35 to the Original Creator. At 100 percent, 70 are credited to the Modder and 0 to the Original Creator. At 0 percent, 0 are credited to the Modder and 70 to the Original Creator.
5.2 Range; no default and no band. The Network Share Rate for a Game is any whole number from 0 to 100 percent of the Share Base, chosen by the Original Creator. Summer sets no default rate and no permitted band, and the Fee and Rates Schedule states none. Modding cannot be Enabled for a Game until the Original Creator has set the Network Share Rate. At 100 percent the whole Share Base is credited to the Modder and nothing to the Original Creator; at 0 percent the whole Share Base is credited to the Original Creator and nothing to the Modder.
5.3 Setting the rate. The Original Creator sets the Network Share Rate for a Game, as any whole number from 0 to 100 percent, when enabling Modding, through the Platform's publication settings. The Platform displays the current rate on the Game page and to every prospective Modder before the Modder builds or publishes a Mod, and records the rate the Modder confirmed under Section 3.3; that confirmed rate is locked for the Mod at Activation under Section 5.5.
5.4 Uniform rate per Game. The rate applies uniformly to all Mods of that Game Activated while it is in effect; per-Modder rates are not supported at launch.
5.5 Rate lock. The Network Share Rate a Modder confirmed is locked for that Mod at its Activation and never changes for that Mod, in either direction. An Original Creator may change the rate for a Game, to any whole number from 0 to 100 percent, at any time. The change is published on the Game page, takes effect 30 days after it is published, is displayed to prospective Modders before they confirm, and applies only to Mods Activated after it takes effect. No rate change applies to an existing Activated Mod or to any past spend; no rate change is retroactive.
5.6 Summer credits directly. Summer credits the Modder's Network Share and the Original Creator's share directly to each Creator's own Earned Sparks ledger, each under a distinct ledger reason, in the single ledger event described in Section 5.1; nothing is transferred between Creators. Network Share amounts are Earned Sparks in the receiving Creator's hands and become the basis of a Program Payment only under the Creator Program Terms, by an enrolled eligible Creator, at the Creator Rate, subject to the maturation hold, minimum, election, reviews and reversals stated there. If a Creator is not (or not yet) eligible, Network Share amounts still accrue; a Program Payment requires eligibility.
5.7 No minimum guarantee. Neither Summer nor the Modder guarantees that any Mod will generate any Share Base. The Network Share is a share of actual Share Base only.
5.8 Share Base: definition and exclusions. The Share Base for a Mod, for any computation, is the Earned Sparks arising from Users' Qualifying Spend in that Mod (or, where the Mod is an item of Virtual Content, on that Mod) after Summer's platform share, allocated between the Modder and the Original Creator under Section 5.1, excluding and net of each of the following: (a) refunds, undos and Account credits under the Refund and Billing Policy, including automatic credits issued when moderation or a Takedown removes purchased Virtual Content; (b) chargebacks and other payment reversals; (c) amounts from transactions Summer determines to be fraudulent, invalid or manipulative, including self-dealing (a Modder, or persons acting in concert with the Modder, spending Sparks in the Mod to inflate the ledger); (d) any fiat amount, including transaction taxes collected on pack purchases, none of which enters the Sparks ledger or the Share Base in either direction; (e) Earned Sparks the Modder receives from any source other than that Mod (the Modder's other Games and Mods are outside this Mod's Share Base); (f) Sparks spent outside the Permitted Game, including in the Original Creator's own Game or in any store surface outside the Mod; (g) Game Points, which never enter any ledger computation; (h) any Earned Sparks allocated under the Engagement Pool (reserved) or under any other program funded from Summer's share (together, Program Awards), unless the Fee and Rates Schedule states otherwise; and (i) any AI inference component of a Virtual Content price that the Fee and Rates Schedule places outside the split (Section 4.8 of that Schedule, reserved).
5.9 When it is computed. The Share Base and the split are computed per transaction at the time Earned Sparks are credited and appear in both Creators' ledger histories and dashboards, with the rounding convention in the Fee and Rates Schedule (rounding remainder to the Modder).
5.10 Negative adjustments: netting only. If an exclusion under Section 5.8 arises after a Network Share amount has already been credited (for example, a chargeback lands after crediting), Summer reverses every leg of the ledger event in which it was credited, on the Modder's and the Original Creator's ledgers alike, in the same proportions in which they were credited. If a Creator's Earned Sparks are insufficient, or a Program Payment that included the amount has already been made, the shortfall is recovered only by netting against that Creator's future Earned Sparks and Program Payments as the Creator Program Terms describe; Summer does not debit a bank account, invoice, or pursue the Creator for it, except where the Creator participated in or knowingly benefited from fraud, in which case Summer may recover by any lawful means. No reversal under this Section touches any Creator's Purchased Sparks, Virtual Content or Account standing.
6. Summer Passport
6.1 Passport is a hosting permission, not a licensing offer. When the Platform renders a Passport Item in a Host Game for the same Player who holds it, the Host Creator neither takes nor needs a license to monetize the Passport Item. The Host Creator's only obligation is to render (or decline to render) the Passport Item under the Host Game's Passport settings, and the Host Creator receives, through Summer, a permission under the Summer Games Terms of Service Section 11.3 to display the rendition in the Host Game for that Player. The Origin Creator's license to Summer in the Terms of Service Section 11.2 expressly covers operation of Summer Passport, including generation of the rendition.
6.2 No Network Share on import. A Passport import writes no Sparks ledger entry, is never charged to the Player, and generates no Qualifying Spend, no Earned Sparks and no Network Share for anyone.
6.3 Passport Derived Content (reserved). Where the Fee and Rates Schedule publishes a Passport Share Rate and a Host Creator offers Passport Derived Content for Sparks in a Host Game, each Qualifying Spend on that Passport Derived Content is Share Base allocated between the Host Creator and the Origin Creator, with the Origin Creator credited the Passport Share Rate and the Host Creator the remainder, computed and credited exactly as Sections 5.1, 5.6, 5.8, 5.9 and 5.10 describe, with the Host Creator in the position of the Modder and the Origin Creator in the position of the Original Creator; the Passport Share Rate is a published Summer parameter, not a Creator-set rate. Until the Fee and Rates Schedule publishes a Passport Share Rate, Host Games may not offer Passport Derived Content for Sparks, and this Section 6.3 has no effect.
6.4 Claimed Passport Items. If a Passport Item becomes Claimed Content under the DMCA and Intellectual Property Policy, it is delisted from every store surface and no Host Game may offer Passport Derived Content from it, but Players who already hold it keep it and the Platform continues to render it in Host Games for the same Player unless and until it is removed under a compliant notice.
6.5 Same owner only; no value. Nothing in this Section 6 or in Summer Passport moves a Passport Item, a rendition, a license or any value from one User to another, and nothing gives a Passport Item cash value or any value outside the Services. Summer Passport does not guarantee that any Host Game will render any Passport Item, or that a rendition will resemble the origin asset.
7. Stacking
7.1 One level at launch. A Mod of a Mod (a "second-level Mod") is permitted only where both the original Game and the first-level Mod have Modding Enabled. Mods of second-level Mods are not permitted at launch. The Platform refuses parent links that would exceed this depth or create a cycle.
7.2 Immediate parent only. A second-level Mod's Share Base is allocated between the second-level Modder and its immediate parent only: the Modder of the first-level Mod, as Parent Creator, sets the Network Share Rate for the first-level Mod (any whole number from 0 to 100 percent), which is locked for each second-level Mod at that Mod's Activation under Section 5.5 (a later change applies only to second-level Mods Activated after it takes effect), and receives the remainder. No share of a second-level Mod's Share Base flows to the Original Creator of the original Game.
7.3 First-level Mod unaffected. The allocation of the first-level Mod's own Share Base between the first-level Modder and the Original Creator is unaffected by Section 7.2. Amounts a first-level Modder receives as Parent Creator from second-level Mods are that Modder's Earned Sparks but are excluded from the first-level Mod's Share Base under Section 5.8(e).
8. Content Standards and the Compliance Process
8.1 Content Standards travel with the Sublicense. The Content Standards in effect for a Game when a Mod is Activated bind the Modder for that Mod. Content Standards may not conflict with the Summer Games Community Standards or the Content Maturity Policy, may not discriminate on any basis prohibited by law, and may not impose payment obligations, off-Platform obligations, or any condition unrelated to the content of the Mod.
8.2 Notice of violation. If, after Activation, the Original Creator reasonably determines that a Mod materially violates the Content Standards, the Original Creator may notify the Modder through the Platform's change-request feature, identifying the Content Standard violated and the specific change required. Notices are delivered by Summer and follow the communication rules in Section 12.6.
8.3 Cure period. The Modder has 14 days from delivery of the notice to make the change and mark it done, or to dispute the notice under Section 9.6 on the ground that the Mod complies. A Mod continues to operate and the Network Share continues to accrue during the cure period.
8.4 Determination and consequence. If, at the end of the cure period, the Original Creator determines reasonably and in good faith that the material violation remains uncorrected, the Original Creator may issue a Revocation Notice under Section 10.2 on ground (a) of Section 10.1. The Original Creator may not issue a Revocation Notice for a Content Standards violation without completing the Compliance Process. Summer may, but need not, review whether the Compliance Process was properly completed and may decline to give effect to a Revocation Notice that was not.
8.5 Summer's moderation is separate. Nothing in this Section 8 limits Summer's own moderation and enforcement under the Summer Games Community Standards, the Content Maturity Policy and the Summer Games Terms of Service, which apply to Mods as to every Game.
9. Content identification, Reactive Offers, Surfaced Games and disputes
9.1 Content identification; no knowledge. Where the Platform offers it, Summer may use automated or manual processes, including matching against Reference Content, to identify Games that may incorporate Licensed Assets without a Network Share Sublicense. Each Creator acknowledges and agrees that these activities are performed to facilitate licensing, are not moderation, and do not give Summer knowledge of any infringing activity or of facts or circumstances from which infringing activity is apparent. Reference Content is Creator Content under the Summer Games Terms of Service and is never used to train any machine learning model.
9.2 Reactive Offers. An Original Creator who believes that a Game incorporates Licensed Assets without a Sublicense may, instead of or before filing a notice under the DMCA and Intellectual Property Policy, ask Summer through the Platform to send that Game's Creator a Reactive Offer of a Network Share Sublicense at the Game's current Network Share Rate and Content Standards. Summer verifies that the Game plausibly incorporates the Licensed Assets before sending the offer, may decline to send an offer that is unfounded, and may limit the number of requests an Original Creator makes in a period. The Creator who receives a Reactive Offer may accept it in the Platform (on which the Game becomes a Permitted Game and Activates under Section 4.1), dispute it under Section 9.4, or do nothing. An offer not accepted within 14 days expires.
9.3 Takedown standstill. While a Reactive Offer is open, and until the earlier of its acceptance, its expiry, or the second dispute under Section 9.4, the Original Creator agrees not to file a notice under the DMCA and Intellectual Property Policy or take other legal action against that Game or its Creator in respect of the Licensed Assets identified in the offer. The standstill does not apply to content that also violates the Summer Games Community Standards or the Child Safety and CSAE Policy, which any User may report at any time.
9.4 Disputing a Reactive Offer. The Creator who receives a Reactive Offer may dispute it in the Platform on one or more of the following grounds: (a) the Game does not use the Licensed Assets; (b) the use is a fair use or is otherwise lawful without a license; or (c) the Creator has modified the Game to remove the Licensed Assets. The Original Creator may accept the dispute, on which the offer is archived and no Sublicense arises, or reject it, on which the offer is re-sent once. If the Creator disputes a second time, the offer is archived automatically, no Sublicense arises, and the Original Creator's only remaining Platform remedy is a notice under the DMCA and Intellectual Property Policy. A Creator who requested a Sublicense cannot dispute the Original Creator's conditional approval of that request; the Creator may cancel the request instead.
9.5 Surfaced Games continue; holds. If a Surfaced Game's Creator declines or disputes a Reactive Offer, or the Original Creator declines to make one, Summer may continue to host and operate the Surfaced Game unless and until Summer receives a compliant notice under the DMCA and Intellectual Property Policy requesting its removal, and the Original Creator's remedies are those stated in that Policy. Earned Sparks generated by a Surfaced Game are not held merely because an offer is open; they are held only under Section 4.4 of the DMCA and Intellectual Property Policy after a compliant notice is received.
9.6 Computation disputes: 14-day window. A Creator who believes a Network Share computation is wrong (wrong rate, wrong parent, wrong Share Base, missing or excess accrual, or a Compliance Process notice with which the Creator disagrees) must submit a dispute through the Creator dashboard within 14 days after the disputed ledger entry or notice first appears in the Creator's reporting. Entries not disputed within the window are deemed accepted, absent fraud or manifest error by Summer. This window governs the computation itself (rate, parent, Share Base and accrual). It does not shorten the 60-day statement-review window in Section 7.6 of the Creator Program Terms, which remains available for errors in how an accepted Network Share line was carried into a Program Payment statement (for example, its amount, its maturation date or the Creator Rate applied); a dispute about the underlying computation raised under that process after this window has closed is out of time unless it shows fraud or manifest error by Summer.
9.7 Cure and determination. Summer investigates a timely dispute, may request information from either Creator, and issues a determination. If Summer finds an error, Summer corrects the ledger for the disputed period and the computation prospectively. If Summer finds no error, the entry stands. Summer's determination is final and binding as to the Platform ledger and Platform-level enforcement. This Section does not waive or limit any right a Creator has against Summer under the Summer Games Terms of Service, including its dispute resolution and arbitration provisions, or any right that cannot be waived by law.
9.8 Infringement disputes are separate. Claims that a Mod infringes the rights of the Original Creator beyond the scope of the Sublicense, or the rights of any third party, are handled under the DMCA and Intellectual Property Policy, not under this Section 9, and are not subject to any Creator-to-Creator informal resolution requirement. If a Mod is removed following a compliant notice, Network Share accrual for that Mod stops while it is removed, and amounts accrued but not yet paid are held under Section 4.4 of that Policy.
10. Term, revocation and wind-down
10.1 Closed list of revocation grounds. An Original Creator may revoke a Network Share Sublicense for a Permitted Game only: (a) for a material violation of the Content Standards that remains uncorrected at the end of the Compliance Process under Section 8; (b) by delisting the parent Game or closing the Original Creator's Account, which Section 10.4 treats as a Revocation Notice for every Mod of that Game; (c) where the Original Creator loses the rights needed to grant Section 3.1 (with the notice required by Section 15.2); or (d) in other limited circumstances that Summer determines in its reasonable discretion, on request. No other ground exists, and a purported revocation on any other ground has no effect.
10.2 Revocation Notice. To revoke, the Original Creator must give Summer, through the Platform's revocation feature (or, if unavailable, by email to the address in Section 17.5), a written Revocation Notice at least 30 days before the intended effective date, identifying the Permitted Game and the ground under Section 10.1. Summer delivers the Revocation Notice to the Modder.
10.3 Share Wind-Down Period. To allow the Modder to remove or replace the Licensed Assets, the covenants in Sections 11.1, 11.2 and 11.3 continue for a Share Wind-Down Period of 60 days from the date Summer receives the Revocation Notice, on the condition that the Original Creator's share continues to accrue on the Permitted Game's Share Base throughout the Share Wind-Down Period. The Share Wind-Down Period runs concurrently with, not in addition to, the notice period in Section 10.2, so a Sublicense revoked on 30 days' notice ends 60 days after Summer receives the Revocation Notice. At the end of the Share Wind-Down Period the Network Share Sublicense ends, no further Network Share accrues, and the Modder must have removed the Licensed Assets from the Mod or unpublished it; a Mod that still incorporates Licensed Assets after that date is unlicensed content subject to the DMCA and Intellectual Property Policy. Amounts accrued through the end of the Share Wind-Down Period remain the Original Creator's Earned Sparks under the Creator Program Terms.
10.4 Delisting or Account closure by the Original Creator. If the Original Creator delists the parent Game or closes the Original Creator's Account, existing Permitted Games are not removed by that event alone. The event is treated as a Revocation Notice received on the date it takes effect for every Mod of that Game: the Original Creator's share continues to accrue for the Share Wind-Down Period and then stops, after which the Mods continue on the Platform with the whole Share Base credited to the Modder, without any further Original Creator's share and without any continuing license to Licensed Assets the Modder has not replaced, except as Section 10.7 provides for purchased Virtual Content. Amounts accrued through the end of the Share Wind-Down Period remain payable under the Creator Program Terms, including the final-payment rule there.
10.5 Modder's exit. A Modder may end a Network Share Sublicense at any time by unpublishing the Mod or by removing the Licensed Assets and re-publishing as a standalone Game, and may do so in particular where continued association with the parent Game may damage the reputation of the Modder or of Summer, in Summer's reasonable determination, or cause other material harm. The Original Creator's share continues to accrue on any Qualifying Spend until the Licensed Assets are fully removed, and Summer gives the Original Creator notice where reasonably practicable.
10.6 Removal for violation. If the parent Game is removed by Summer for violation of the Summer Games Community Standards, the Summer Games Terms of Service, or following action under the DMCA and Intellectual Property Policy, Summer may suspend or terminate the related Network Share Sublicenses, including where the violation (for example, third-party infringement) flows down into the Mods, without a Share Wind-Down Period where the violation requires immediate removal. Handling of accrued but unpaid amounts follows the Creator Program Terms and Section 4.4 of the DMCA and Intellectual Property Policy.
10.7 Players' purchased content stays usable. Revocation, delisting, Account closure or the end of a Sublicense never removes Virtual Content that a Player validly acquired in the Mod, never triggers Account action against the Modder or the Original Creator by itself, and never destroys any User's items. Validly acquired Virtual Content remains usable by its holder under the Summer Games Terms of Service Section 11.5, and the Original Creator's license in Section 3.1 survives to that extent.
10.8 Portability. Mods are not exportable at launch, as Section 15.4 of the Summer Games Terms of Service states: only a Game the exporting Creator wholly owns may be exported, and the export commitment in that document never extends to Licensed Assets or other content sublicensed under Section 3.2. The Modder's own original contributions to a Mod remain the Modder's content; the Modder may re-publish them as a standalone Game once every Licensed Asset has been removed or replaced, and may export that standalone Game like any other wholly owned Game. The Share Wind-Down Period is the Modder's window to remove or replace Licensed Assets for that purpose. If Summer later permits export of Mods, this Schedule will state whether and how a Network Share applies to spend inside an exported build: Sparks spent inside a Linked Build (reserved in Summer Games Terms of Service Section 8.8) are authorized by Summer's servers and recorded on the Sparks ledger, while fiat sales of the build through a third-party store are revenue the Sparks ledger cannot see.
10.9 Term as to a Creator. This Schedule applies to a Creator for as long as the Creator has a Game with Modding Enabled, a Permitted Game, or accrued Network Share amounts, and survives thereafter as to accrued amounts, Sections 5.10, 9.6 to 9.8, 10.7, 10.8, 11, 12.4, 13, 14, 15.3 and 17.
11. Covenants not to sue
11.1 Original Creator's covenant as to the Modder. For so long as a Network Share Sublicense is in effect for a Permitted Game, and for any Share Wind-Down Period, and with respect to acts occurring in those periods, the Original Creator covenants not to take legal action against the Modder for infringement, misappropriation or violation of intellectual property or similar rights arising from the Modder's creation, publication, operation or monetization of that Permitted Game within the scope of the Sublicense ("Licensed Mod Activity").
11.2 Modder's covenant as to the Original Creator. For the same periods, the Modder covenants not to take legal action against the Original Creator for any claim arising from the Original Creator's setting of the Network Share Rate or receipt of the Original Creator's share, from the parent Game's continued operation and evolution, or from any resemblance between the parent Game's later content and the Mod, including its derivative elements.
11.3 Covenants as to Summer. In consideration of the modding tools and the potential to accrue Earned Sparks, each Original Creator covenants not to take legal action against Summer for claims related to: (a) content identified or surfaced under Section 9.1 for a possible Reactive Offer; (b) content that is, or was, licensed under a Network Share Sublicense, including during any Share Wind-Down Period; and (c) Summer's computation, crediting or reversal of Network Share amounts in accordance with this Schedule. Each Modder, in consideration of the Network Share Sublicense and the potential to accrue Earned Sparks, gives the same covenant as to the matters in limb (c), so that every Creator, Original Creator and Modder alike, covenants not to take legal action against Summer over a computation, crediting or reversal made in accordance with this Schedule, including a determination under Section 9.7; Section 11.4 applies to this covenant as it applies to the others. This Section does not limit a Creator's rights under the Summer Games Terms of Service in respect of Summer's own breach of this Schedule.
11.4 Authority to covenant. Each Creator represents and warrants that the Creator has full right, power and authority to give the covenants in this Section 11, including, for a Creator aged 13 to 17, that the consents required by the Parent Account Terms have been given. For a Creator aged 13 to 17, the covenants in this Section 11, including the covenant as to Summer in Section 11.3, are also given, in that person's own capacity, by the Parent Account holder: the parent or legal guardian who accepted the Terms of Service and its Additional Terms on the Creator's behalf under Section 4.4 of the Parent Account Terms. That Parent Account holder is bound by this Section 11 as the Creator is, and the other Creator may enforce the co-given covenants in Sections 11.1 and 11.2 as Section 11.7 provides.
11.5 Carve-outs. The covenants in this Section 11 do not apply to: (a) activity outside the scope of the Sublicense, including off-Platform distribution or exploitation of the other party's content, extraction of Licensed Assets for external use, or use of the other party's trademarks beyond Section 3.5(b); (b) claims arising from content that infringes third-party rights; (c) claims unrelated to the Mod or the parent Game; or (d) defamation, privacy or publicity claims.
11.6 Survival. Each covenant survives the end of the Sublicense as to Licensed Mod Activity that occurred while the Sublicense or the Share Wind-Down Period was in effect. It does not license or immunize any activity after that time.
11.7 Enforcement. Each of the Original Creator and the Modder is an intended third-party beneficiary of the other's covenant in Sections 11.1 and 11.2 and may enforce it directly, notwithstanding Section 3.4. This is the sole third-party beneficiary right under this Schedule.
12. Reporting, records, data and communication
12.1 Dashboard reporting. Summer provides each affected Creator with ledger-level reporting of Network Share accruals, reversals and the parameters used (rate, Share Base, exclusions) through the Creator dashboard.
12.2 System of record. Summer's ledger is the system of record for all amounts under this Schedule, subject to Section 9.6 and 9.7. The 14-day dispute window runs from the ledger entry.
12.3 No audit right. Because the split is computed automatically at the ledger level by the same system that records the underlying spend, this Schedule grants no Creator an audit right against Summer or against any other Creator.
12.4 Aggregated data only; no re-identification. Before a Sublicense Activates, an Original Creator sees only a Mod's public listing. After Activation, the Original Creator may see, for that Permitted Game, visits, 7-day active Players, and aggregate Sparks spent and Original Creator's share accrued, and nothing else. Summer never provides a per-transaction list, even anonymized, or any information identifying a Player. Each Creator agrees not to share data received under this Schedule with any third party and not to attempt to re-identify, disaggregate or combine it with other data.
12.5 Contact information. Summer may share an Original Creator's public Creator name with the Creators to whom the Original Creator makes a Reactive Offer, and a Modder's public Creator name with the Original Creator. Summer does not share email addresses or other contact details between Creators under this Schedule.
12.6 Communication rules. Messages between Creators through the Platform about a Sublicense, a Content Standards notice or a Reactive Offer must not: (a) negotiate or discuss terms other than through the Platform's structured options; (b) request personal or financial information; (c) contain foul, harmful, threatening or legal-threat language unsuitable for a 13+ audience; or (d) invite contact outside the Platform. Messages are moderated under the Summer Games Community Standards.
13. Enforceability: a condition of publishing, not only an IP license
13.1 Contractual condition. The Network Share is a contractual condition of publishing a Mod on the Platform and of publishing a Game with Modding Enabled (Section 12.5 of the Summer Games Terms of Service), and an obligation owed by each Creator to Summer under the Summer Games Terms of Service and this Schedule. It is not a condition of publishing a Game without Modding Enabled. It is agreed consideration for access to the Platform, the modding tools, the parent Game through those tools, the audience, and the hosting and distribution Services.
13.2 Independent of copyright status. The obligation to accept the Network Share, and Summer's right to compute and apply it, apply regardless of the copyright status of any content involved, including Generated Content produced with the AI Tools that may not be protectable by copyright, and regardless of whether the Mod would constitute a derivative work under copyright law. A claim that the parent Game, the Mod, or any part of either lacks protectable expression does not excuse, reduce or defer the Network Share, and each Creator agrees not to challenge the Network Share on that ground.
13.3 Generated Content as Licensed Assets. Generated Content may be a Licensed Asset and may carry a Network Share as a contractual condition under this Schedule. Generated Content is not, by itself, a basis for a Claim, a Reactive Offer or an infringement notice against another Creator except to the extent the requesting Creator identifies protectable human authorship in it; independently generated similar output does not infringe.
13.4 Severability of the licenses. If any license or sublicense in Section 3 is held invalid or unenforceable in whole or in part, the payment condition in this Schedule survives independently as a condition of the Creators' access to and use of the Platform.
14. Nature of Network Share amounts
14.1 Earned Sparks; Program Payment. Network Share amounts credited to a Creator under Section 5.1, whether the Modder's Network Share or the Original Creator's share, are Earned Sparks in that Creator's hands and have the character described in the Summer Dictionary and the Summer Games Terms of Service: a ledger record of a contingent entitlement to a Program Payment, not a license, not spendable, and not property; until every condition to a Program Payment stated in the Creator Program Terms is met, nothing is owed to, held for, or set aside for the Creator; once every such condition is met, the Program Payment is an obligation of Summer that may be reduced or forfeited only on the grounds listed there. When paid, a Network Share amount is part of a Program Payment under the Summer Creator Program: an obligation of Summer to the Creator, paid from Summer's own funds, in consideration of the license the Creator grants Summer under Section 11.2 of the Summer Games Terms of Service (and, for an Original Creator, Section 3.1) to host, run, distribute and commercialize the Game, as described in the Creator Program Terms. It is not a payment from the Modder, not wages, salary or compensation for services performed for or at the direction of Summer, and not payment for or in respect of any Sparks or stored value, matching Section 5.3 of the Creator Program Terms. Section 14.3 and the Creator Tax Addendum state its US tax treatment.
14.2 Separate ledger reason. Summer records Network Share amounts under a ledger reason distinct from a Creator's other Earned Sparks, and reports each Creator as receiving only that Creator's own share.
14.3 Tax treatment and administration. Network Share payments are Program Payments and carry the same US tax treatment and withholding as other Program Payments under the Creator Tax Addendum: for US federal income tax purposes Summer treats them as royalties for the license described in Section 3.1, and US withholding on a non-US Creator's Program Payments applies only to the US-Source Share as that Addendum defines it; a US Creator without a valid Form W-9 on file is subject to backup withholding as that Addendum states. A valid Form W-9 (US Creators) or Form W-8BEN or W-8BEN-E (non-US Creators) must be on file before the first Program Payment, as that Addendum requires. Tax documentation, information reporting and any legally required withholding for Network Share amounts are handled together with other Program Payments under that Addendum. Amounts properly withheld and remitted are not a Summer fee and are treated as paid to the Creator; each payment statement shows the gross amount at the Creator Rate, any withholding, and the net paid. Creators remain responsible for their own taxes in their country of residence; Summer gives no tax advice.
14.4 No relationship. Nothing in this Schedule makes any Creator an employee, agent, partner or joint venturer of Summer or of any other Creator.
15. Representations, accurate information and misuse
15.1 Original Creator's representations. Each Original Creator represents and warrants, on enabling Modding and for as long as any Sublicense is Activated, that: (a) the Original Creator owns the Licensed Assets or has all rights needed to grant Section 3.1, including as to any third-party or Asset Library components under their licenses; (b) no consent of, or payment to, any third party is required for Summer or a Modder to exercise the rights granted; (c) the Licensed Assets do not infringe, defame or violate the privacy, publicity or other rights of any person; (d) any ownership documentation the Original Creator supplies to Summer is true, correct and complete; and (e) the Original Creator has authority to give the covenants in Section 11. The Original Creator agrees to pay all amounts owed to any person as a result of making the Licensed Assets available under this Schedule. The indemnity in Section 22 of the Summer Games Terms of Service applies to a breach of these representations.
15.2 Ownership changes. An Original Creator must notify Summer through the Platform within 7 days of any change in ownership of, or rights to, the Licensed Assets, with related documentation, and may then revoke under Section 10.1(c).
15.3 Misuse. A false or fraudulent assertion of ownership of Licensed Assets, a Reactive Offer made in bad faith, a Compliance Process notice used to harass, or any other violation of this Schedule or the Summer Games Terms of Service may result in termination of access to the modding tools or the Platform, reversal of Network Share credits obtained through the misuse (by netting under Section 5.10, or by any lawful means in the case of fraud), and any other remedy available to Summer or to the valid rights owner under applicable law.
15.4 Modder's representations. Each Modder represents and warrants, on Activation and for as long as the Sublicense is in effect, that the Mod complies with the Content Standards accepted under Section 3.3, that the Modder's own contributions to the Mod satisfy Section 11.7 of the Summer Games Terms of Service, and that the Modder will not use the Licensed Assets outside the scope of Section 3.5.
16. Changes to this Schedule
16.1 30 days' notice, prospective only. Summer may modify this Schedule with at least 30 days' advance notice by email and Platform notice. Modifications apply prospectively only, to transactions and publications occurring after the stated effective date, and never to amounts already accrued or to the Network Share Rate locked for an Activated Mod.
16.2 Fee and Rates Schedule parameters. A change to Summer's platform share, the Passport Share Rate, the cure period, the Revocation Notice period or the Share Wind-Down Period is made in the Fee and Rates Schedule under its 30-day prospective rule and applies only to Mods Activated after the effective date. The Network Share Rate for a Game is set and changed by the Original Creator alone under Sections 5.2 to 5.5; Summer publishes no default and no band for it and does not change it.
16.3 Your choices. An Original Creator who does not accept a modification may disable Modding before the effective date; a Modder who does not accept may unpublish the Mod or remove the Licensed Assets before the effective date. Continued Modding-Enabled publication, or continued publication of a Permitted Game, after the effective date constitutes acceptance for future transactions.
17. General
17.1 Order of precedence. This Schedule controls over the Summer Games Terms of Service as to Network Share mechanics; the Terms of Service control as to everything else, including dispute resolution, disclaimers and limitations of liability, all of which apply to this Schedule. The Fee and Rates Schedule controls all amounts, rates and periods it states; the Network Share Rate for a Game is set by the Original Creator under Section 5. The DMCA and Intellectual Property Policy controls infringement notices, Claims and counter-notices.
17.2 Governing law and disputes. This Schedule is governed by the laws of the State of California, without regard to conflict-of-laws principles, except that the arbitration agreement in the Summer Games Terms of Service is governed by the Federal Arbitration Act. Disputes between a Creator and Summer under this Schedule are subject to the dispute resolution provisions of the Terms of Service, including the informal resolution period, individual arbitration with its 30-day opt-out, the batching protocol for mass claims, the class and jury waivers, the small-claims carve-out, and venue in San Francisco County, California for matters not subject to arbitration.
17.3 Assignment. Summer may assign this Schedule in connection with a merger, acquisition or sale of assets. A Creator may not assign, sell, pledge or otherwise dispose of the right to receive Network Share amounts, in whole or in part, without Summer's prior written consent; any attempt without consent is void.
17.4 Severability; waiver. If any provision of this Schedule is held unenforceable, the remainder continues in effect, and Section 13.4 applies to the payment condition. Summer's failure to enforce a provision is not a waiver.
